Definitions

  • Agreement: The contract including proposal, scope, and these terms
  • Client Content: Materials provided by the client (text, images, etc.)
  • Deliverables: Work products defined in the agreement
  • Tools & Assets: Proprietary tools, code, frameworks, and design elements created or used by our company
  • Final Deliverables: Completed and approved outputs delivered to the client
  • Project: The overall scope of work agreed upon
  • Services: All services provided under the agreement
  • Third-Party Materials: External resources such as stock images or licensed assets

Services

We will provide services as outlined in the agreed proposal and project milestones.

Proposals and Validity

All proposals remain valid for 30 days from the date issued. After this period, we reserve the right to revise pricing or scope before acceptance.

Fees and Expenses

  • Service Fees: Charged according to the agreed project plan
  • Additional Costs: Third-party services (e.g., hosting, licenses) billed separately

Expenses: Charged at cost unless otherwise agreed

Payment Terms

  • Invoices are payable within 5 days of issue
  • Payment schedules follow agreed milestones
  • Late payments may affect project timelines

Changes to Scope

Change Requests

All requested changes must be submitted in writing. We will respond within 5 working days with impact on cost and timeline.

Minor Changes

Changes under ~20% of project scope may be billed at standard hourly rates.

Major Changes

Significant changes require a revised proposal. Work will pause until approval is received.

Project Delays

  • Client Delays: May extend deadlines accordingly
  • Company Delays: We will notify the client promptly

External Delays: Events beyond control (e.g., natural disasters, government actions) will extend timelines without penalty

Review and Acceptance

  • Deliverables will be tested using industry-standard methods
  • Clients have 7 working days to approve or request revisions
  • Revisions will be addressed within a reasonable timeframe

Client Responsibilities

The client agrees to:

  • Provide accurate and usable content
  • Ensure content is proofread and approved
  • Respond promptly to requests and decisions

Additional work due to incomplete or incorrect content may incur extra charges.

Credits and Promotion

We reserve the right to:

  • Display project work in our portfolio
  • Include attribution (e.g., website credit link), unless otherwise agreed

Confidentiality

Both parties agree to protect confidential information and not disclose it to third parties unless required by law or already publicly known.

Relationship of Parties

  • We operate as an independent contractor
  • No partnership, employment, or joint venture is created
  • We may use subcontractors while remaining responsible for deliverables

Liability

Services are provided “as is.” Our total liability is limited to the amount paid by the client for the services.

Intellectual Property & Usage Rights

Upon full payment:

  • The client receives a non-exclusive, perpetual license to use the final deliverables
  • Ownership of underlying tools, code, and frameworks remains with us
  • Modifications or reuse beyond the agreed scope require permission

Support and Maintenance

Ongoing support may be provided at standard hourly rates unless otherwise agreed. Warranty becomes void if third parties modify the deliverables.

Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Continued use of our services indicates acceptance of any revisions.
